LAW 271 - Corporation Law

2 Credit

Introduces students to corporate law and the formation, operation, and dissolution of various kinds of business organizations. Subjects include the law of agency, sole proprietorships, corporations, partnerships, limited partnerships, limited liability partnerships, limited liability companies, franchises, and topics related to publicly traded companies.

Prerequisite(s): Successful completion of PLS 260 or LAW 101 with a grade of C or higher, or permission of program director.

Course Learning Outcomes
1.Distinguish between the various types of business entities and the advantages and disadvantages of each.
2.Correlate the basic government and judicial structures at the state and federal levels which form the basis for the business and corporate areas of law.
3.Assess how the law of agency applies to given business and corporate law scenarios.
4.Compose organizational documents for a fictitious business organization.
